Non-Disclosure Agreement (NDA)
This Mutual Non-Disclosure Agreement (“Agreement”) is entered into between:
Umar Aslam (“Disclosing Party”)
and
[Recipient’s Name/Company Name] (“Receiving Party”)
collectively referred to as the “Parties.”
The purpose of this Agreement is to protect confidential information that may be shared between us to explore a potential business relationship or collaboration.
1. What is Confidential Information?
“Confidential Information” refers to any non-public information disclosed by either party. This includes, but isn’t limited to:
From Me: Business ideas, project proposals, pricing, source code, designs, trade secrets, and technical processes.
From You: Business plans, customer data, financial information, proprietary technology, and strategic roadmaps.
Our Mutual Responsibilities
Both Parties agree to:
Hold the other’s Confidential Information in strict confidence.
Use the information solely for the purpose of discussing or evaluating our potential collaboration.
Not disclose, copy, or use the information for any other purpose.
Protect the information with the same degree of care we use for our own confidential information, but at least a reasonable standard of care.
What Isn't Confidential?
These obligations do not apply to information that:
Was already known or becomes publicly known through no fault of the Receiving Party.
Is rightfully received from a third party without obligation of confidentiality.
Is independently developed without access to the Confidential Information.
Is required to be disclosed by law (though the other party will be notified beforehand).
How Long Does This Last?
This Agreement remains in effect for One (1) year from the date of signing. Upon termination of our discussions, or upon request, each party will promptly return or destroy all Confidential Information received from the other.
General Provisions
No License: This Agreement doesn’t grant any license to use each other’s intellectual property.
Entire Agreement: This document represents the full understanding between us concerning this subject and supersedes all prior discussions.

Ending a Project
Either of us can end our project agreement at any time. If a project is terminated before completion, you will be responsible for paying for all the work that has been completed satisfactorily up to that point.
Changes to These Terms
I may update these terms occasionally. The most current version will always be posted right here on this page.
